The Opportunity
The Chief Legal Office of USAA seeks a highly skilled legal executive with substantial experience across the full spectrum of consumer banking products and services and demonstrated ability leading across a large, matrixed organization. This position, Vice President, Attorney - Banking and Governance Counsel, will act as a deputy reporting to the General Counsel of USAA Federal Savings Bank. Manages the legal business matters pertaining to the organization. Acts as advisor, or coordinates with external counsel, on legal issues including but not limited to organizational governance, regulatory compliance, data privacy and risk mitigation, intellectual property, and patents. Prepares documents to support same. Reviews and develops facts and information to support well-grounded advice on appropriate legal actions to be taken. Directs internal and external counsel in their provision of legal advice to the organization. May, but usually does not, get involved with legal matters handled by outside counsel related to personnel matters.
What you?ll do:
? Directly leads a sub-functional or functional organization, typically managing through subordinate executive people managers
? Provides strategic intent and directional guidance to a subordinate organization in support of operations for the functional area assigned
? Demonstrates senior executive level thought leadership, strategy development, and financial and operational planning
? Applies subject matter expert functional knowledge to lead subordinate teams in producing work deliverables in support of departmental and Enterprise initiatives
? Leads broad functional and Enterprise projects.
Often serves as an executive sponsor for projects
? Oversees the development of functional policies, procedures and guidelines.
Identifies opportunities and facilitates transformative improvements to operating models and systems
? Performs strategic tasks under minimal supervision and has discretion to deviate from established procedures and guidelines
? Serves in a senior executive leadership capacity and has responsibility for performance management and professional development activities for subordinate workers
? Juris Doctor degree from an accredited law school required
? 10 or more years of progressive related experience developing strategies, managing major initiatives and delivering results within a complex matrixed environment required
? 8 or more years of people leadership experience in building, managing and/or developing high-performing teams required
? Experience collaborating with key resources and stakeholders, influencing decisions and managing work to achieve strategic goals required
? Senior executive-level business acumen in the areas of business operations, industry practices and emerging trends required

? ? Strong interest in organizational design and operations of a legal organization or function to support cost and process efficiencies and career development and growth.
? Demonstrated ability to run a legal function like a business and to provide trusted advice and counsel in an efficient manner.
? As a member of the Banking Legal team, helps design and execute the Bank?s legal strategy, accounting for USAA?s business strategy and legal, regulatory, and supervisory requirements and expectations.
? Role models USAA?s mission, core values, culture and desired behaviors ? including a culture of risk awareness and accountability.
? Supervises and drives operational planning of the legal function.
? Oversees funding, budgeting and execution of legal initiatives and projects across the two Banks.
? Holds self and others accountable to meet commitments by setting and clearly communicating expectations and roles and responsibilities.
Technical and Risk Responsibilities: ? Provides legal advice regarding Bank issues, including corporate, governance, consumer financial services regulatory, legislative and litigation matters. ? Supports board and board committee meetings and management committee meetings, reviews presentations and agendas, presents to and addresses questions from directors and colleagues. Advises Board members on legal and regulatory issues. Supports appropriate governance practices, and ensures regulatory requirements are met. ? Represents the Banks before federal or state financial services regulatory agencies, as appropriate, including applications and requests for approval of proposed transactions and informing agencies of legal issues concerning the Bank. ? Supports the negotiation and drafting, or advising on the legal implications of, contracts, forms, disclosures, and other documents. ? Collaborates with the Enterprise Litigation group to manage litigation involving the Bank through internal or external counsel. ? Attends hearings and communicates the Bank?s position to regulatory bodies, trade associations and legal interest groups. ? Takes appropriate steps to protect the Bank from legal liabilities involving lending, insured deposit taking and other banking activities and corporate activities relating to the operation of federally insured financial institutions. ? Provides enterprise regulatory support through partnership and collaboration with key clients, including legal, compliance, risk and business partners, for the purpose of influencing decisions and managing risks to achieve strategic goals. ? Ensures risks associated with business activities are effectively identified, measured, monitored, and controlled in accordance with risk and compliance policies and procedures.
Management Committees:
? May interact with or participate in Bank and USAA management committees addressing Bank and Enterprise risk and control issues; capital, liquidity, and asset management issues; credit issues; and the like
Minimum Education and Admission:
? Bachelor?s degree and Juris Doctorate (JD) from an ABA-accredited law school.
? Admission to practice and in good standing in a state or states sufficient to support practicing in either Charlotte, NC or San Antonio, TX.
Minimum Experience:
? At least 15 years of experience providing legal advice to complex organizations ? with significant experience providing legal advice to financial organizations ? in private practice, an in-house legal function, regulatory agency, or equivalent with a proven track record leading comparable operations and programs.
? A minimum of 10 years of people leadership experience in building, managing and/or developing high-performing teams.
? A minimum of 10 years of relevant experience in a large financial institution ($100 billion +), including 5+ years post-Dodd Frank, in a legal role is preferred.
Regulatory Understanding:
Demonstrated understanding of the full spectrum of regulatory actions, including examinations and other supervisory engagement and processes, including, for example:

What we offer:
Compensation:
USAA has an effective process for assessing market data and establishing ranges to ensure we remain competitive. You are paid within the salary range based on your experience and market position. The salary range for this position is: $286,500 ? 515,700
Employees may be eligible for pay incentives based on overall corporate and individual performance or at the discretion of the USAA Board of Directors.
Long Term Incentive Plan: Cash payment for Executive level roles only, representing a cash payment which is both time and performance based.
