The Associate General Counsel for Commercial Real Estate and Investment Banking at M&T Bank is a pivotal role that requires a seasoned legal professional to provide counsel and advice on complex legal matters affecting the organization. This position is hybrid, necessitating in-office work three days a week at one of the M&T offices located in Buffalo, NY, Paramus, NJ, Baltimore, MD, or New York, NY. Depending on the final candidate's location, there may be opportunities for remote work. The successful candidate will work closely with representatives from various business lines and support units, executing strategic direction, policies, and guidelines for the Bank's Legal division. They may also represent the Bank with industry associations, government, and regulatory bodies. In this role, the Associate General Counsel will serve as legal and transactional support for the Commercial Real Estate (CRE) business segment leadership. They will provide legal advice and guidance to clients and senior managers on commercial real estate financing matters, including construction and syndicated lending, as well as on- and off-balance sheet financing structures. The position involves performing a variety of complex or specialized legal activities to protect the organization and ensure compliance with all relevant laws and regulations. The incumbent will be responsible for making recommendations to senior management on how to respond to legal issues or proposed changes in laws and regulations, reviewing and approving legal contracts, letters of agreement, and other documents related to various trade, commercial, financial, and operational matters. Additionally, the Associate General Counsel will partner with Compliance, Risk, and Audit groups on supported divisional and departmental matters, develop and implement streamlined and strategic policies and procedures for legal support, and prepare or review complex materials for external legal counsel. The role requires a deep understanding of the Company's risk and regulatory standards, policies, and controls, and the ability to identify risk-related issues needing escalation to management. This senior-level position necessitates regular interaction with senior and executive management, making it essential for the incumbent to anticipate and guard against legal risks facing M&T Bank, develop corporate policy, and conduct research into various legal issues.

Requirements
? J.D. from an accredited law school.
,
? Minimum of 7 years' experience as an attorney or other relevant legal experience.

? Experience working as an attorney with a law firm and/or as in-house counsel.

? Deep knowledge of Commercial Real Estate Financing structures, including construction lending and syndicated loan facilities.

? Significant experience in representing financial institutions on commercial real estate financing and commercial investment banking initiatives and transactions.

? Minimum of 5 years' work leadership experience.

? New York State or applicable state bar admission.

? Ability to identify legal issues, evaluate legal risks, and offer solutions.

? Strong negotiation, interpersonal, and organizational skills.
