The Senior Counsel, Corporate & Securities position reports to the Deputy General Counsel.We are seeking an attorney with experience in corporate and securities matters for public companies, as well as experience with debt financing, corporate entity management, M&A and related matters. The ideal candidate will have experience handling public company securities matters and has been closely involved in the drafting and revision of ’33 Act and ’34 Act filings.Responsibilities:
- Working closely with Alight’s finance department, coordinate and support SEC reporting and compliance activities, including, but not limited to, the preparation and filing of Forms 8-K, 10-Q, and 10-K, proxy statements, annual reports, registration statements, and Section 16 reports.
- Working closely with Alight’s investor relations department, assist with the preparation and review of press releases, earnings call scripts, investor presentations, marketing materials, internal information provided in response to media requests, and corporate website content for SEC and general corporate governance compliance.
- Act as a liaison with the company’s transfer agent.
- Help coordinate activities relating to the Company's annual stockholders' meeting.
- Support the Company's debt financing activities including coordination of credit agreement amendment and related treasury department activities.
- Assist with supporting corporate development transactions (mergers, acquisitions, divestitures, and investments into new ventures, strategic alliances, partnership agreements) and other strategic transactions.
- Assist with management of corporate governance matters, such as entity formations, changes, terminations, and reorganizations.
- Develop and implement efficiencies to improve existing processes and procedures.
- Assist in developing training materials and provide training to the business on relevant topics.
- Provide legal analysis and prepare presentations, reports, research memoranda, etc.
- Perform other corporate duties as assigned.
- Law degree and current state bar membership
- 3-5+ years’ experience at a law firm or in a corporate law department with SEC compliance, M&A and corporate governance for private and public companies
- Experience advising U.S. based multinational corporations on complex matters
- Ability to collaborate on multiple projects with short deadlines simultaneously
- Highly responsive and service oriented with excellent legal and business judgment
- Must have strong communication skills and the ability to respond effectively and persuasively on behalf of the company, including to inquiries from regulatory agencies
- Experience with Workiva is a plus
